UNDERLYING SUPPLIER TERMS
Underlying Supplier Terms
As a managed service provider selling and supplying third party services, products and solutions, Opus are required by some of our Underlying Suppliers to notify, flow down and apply certain additional terms to our customers. These additional terms support and enable Customer’s use of these services, products and solutions. Examples include software licensing terms (such as end user licence agreements) and certain access, usage, intellectual property and compliance terms. Additional Terms – 8×8 products, services, solutions
8×8 Customer Regional Terms, the 8×8 Global Reseller DPA, the 8×8 Use Policy and other terms applicable to 8×8 and related third party products can be accessed here: Legal Information Hub | 8×8.
Customer Data Access: For the duration of the Agreement, Customer grants 8×8 and its Affiliates a non-exclusive, non-transferable, sub-licensable, worldwide, royalty-free licence and right to: (a) access Customer’s account(s) and reproduce, distribute, perform, prepare derivative works, display, store, use, process, and digitally transmit Customer Data for any business purpose necessary to provide and support the 8×8 Solutions; (b) disclose and transfer Customer Data to Opus to the extent necessary to provide the 8×8 Solutions; (c) disclose Customer Data to courts, government agencies and other third parties to the extent required by applicable Law or legal process; (d) collect and aggregate Customer Data with data from other service providers and customers to create anonymised customer data. Customer grants 8×8 and its Affiliates a worldwide, royalty-free, non-revocable licence and right to reproduce, distribute, perform, prepare derivative works, display, store, use, process, and digitally transmit anonymised Customer Data, including for the purposes of: (i) compliance with reporting requirements under applicable Laws, (ii) quality control and assurance, (iii) supporting and improving the 8×8 Solutions and developing new products and services, all with the restriction that when anonymised data includes Customer Personal Data, 8×8 will conduct these activities in accordance with the data protection provisions in applicable 8×8 Regional Terms and the 8×8 Global Reseller DPA.
IP Ownership: This Agreement does not provide to Customer any right, title, or interest to the 8×8 Solutions other than the limited licences 8×8 expressly provides to Customer. Customer hereby assigns to 8×8 all IP Rights and other rights, title, and interest in or to any suggestion, improvement, enhancement, recommendation, correction, idea, contributions to 8×8 marketing materials, or other feedback that Customer provides to 8×8 or its Affiliates relating to its operations or the 8×8 Solutions (“Feedback”), and agrees that 8×8 may freely use, licence, assign, and exploit any ideas, concepts, know-how, or techniques contained therein for any purpose without restriction or compensation.
IP Licences for Customer’s Use: Where Customer has purchased 8×8 SaaS Services, Customer and its authorised users are licensed to access and use 8×8 SaaS Services through the Customer-facing interfaces provided by 8×8 solely for the Customer’s internal business purposes and in accordance with 8×8’s Use Policy.

Cautionary Statement – High Risk Use: CallCabinet applications are not specifically designed, tested, manufactured or intended for operation or use in any inherently dangerous, life endangering or life support applications, including without limitation nuclear facilities or the flight, navigation or communication of aircraft, ground support equipment or life systems monitoring.
Microsoft products and subscriptions (including subscription renewals) are supplied subject to the Customer having in place a valid and active Microsoft Customer Agreement. The Microsoft Customer Agreement is available at this Microsoft site: Licensing Documents. Microsoft products and services are subject to applicable Microsoft licensing conditions and restrictions. Microsoft product terms can be found here: https://www.microsoft.com/licensing/terms/ Customer is responsible for compliance with applicable Microsoft conditions and obligations.
